  1. This Agreement has 3 parts.  Part I applies if you have
  2. not purchased a license to the accompanying software (the
  3. "Software").  Part II applies if you have purchased a
  4. license to the Software.  Part III applies to all license
  5. grants.  If you initially acquired a copy of the Software
  6. without purchasing a license and you wish to purchase a
  7. license, contact Live Picture, Inc. ("Live Picture") on the
  8. Internet at http://www.livepix.com or at http://www.livepicture.com.

  10. PART I -- TERMS APPLICABLE WHEN LICENSE FEES NOT (YET)
  11. PAID (LIMITED TO EVALUATION, EDUCATIONAL AND NON-PROFIT
  12. USE) GRANT
  13.  
  14. Live Picture grants you a non-exclusive license to use
  15. the Software free of charge if your use of the Software
  16. is for the purpose of evaluating whether to purchase an
  17. ongoing license to the Software.  The evaluation period
  18. for use by or on behalf of a commercial entity is
  19. limited to 60 days; evaluation use by others is not
  20. subject to this 60 day limit.  If you are using the
  21. Software free of charge, you are not entitled to
  22. hard-copy documentation, support or telephone assistance. 
  23. If you fit within the description above, you may use the
  24. Software in the manner described in Part III below under
  25. "Scope of Grant."
  26.  
  27. DISCLAIMER OF WARRANTY
  28.  
  29. Free of charge Software is provided on an "AS IS" basis,
  30. without warranty of any kind, including without
  31. limitation the warranties of merchantability, fitness for
  32. a particular purpose and non-infringement. The entire
  33. risk as to the quality and performance of the Software is
  34. borne by you.  Should the Software prove defective, you
  35. and not Live Picture assume the entire cost of any
  36. service and repair. In addition, the security mechanisms
  37. implemented by LivePix software have inherent
  38. limitations, and you must determine that the Software
  39. sufficiently meets your requirements. This disclaimer of
  40. warranty constitutes an essential part of the agreement.
  41. SOME JURISDICTIONS DO NOT ALLOW EXCLUSIONS OF AN IMPLIED
  42. WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO YOU AND
  43. YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY
  44. JURISDICTION.

  46. PART II -- TERMS APPLICABLE WHEN LICENSE FEES PAID
  47.  
  48. GRANT. Subject to payment of applicable license fees,
  49. Live Picture grants to you a non-exclusive license to use
  50. the Software and accompanying documentation
  51. ("Documentation") in the manner described in Part III below
  52. under "Scope of Grant."
  53.  
  54. LIMITED WARRANTY.
  55.  
  56. Live Picture warrants that for a period of ninety (90) days
  57. from the date of acquisition, the Software, if operated
  58. as directed, will substantially achieve the functionality
  59. described in the Documentation. Live Picture does not
  60. warrant, however, that your use of the Software will be
  61. uninterrupted or that the operation of the Software will
  62. be error-free or secure. In addition, the security
  63. mechanisms implemented by LivePix software have inherent
  64. limitations, and you must determine that the Software
  65. sufficiently meets your requirements.  Live Picture also
  66. warrants that the medium containing the Software, if
  67. provided by Live Picture, is free from defects in material
  68. and workmanship and will so remain for ninety (90) days
  69. from the date you acquired the Software. Live Picture's
  70. sole liability for any breach of this warranty shall be, in
  71. Live Picture's sole discretion: (i) to replace your
  72. defective medium; or (ii) to advise you how to achieve
  73. substantially the same functionality with the Software as
  74. described in the Documentation through a procedure different
  75. from that set forth in the Documentation; or (iii) if the
  76. above remedies are impracticable, to refund the license fee
  77. you paid for the Software. Repaired, corrected, or replaced
  78. Software and Documentation shall be covered by this
  79. limited warranty for the period remaining under the
  80. warranty that covered the original Software, or if
  81. longer, for thirty (30) days after the date (a) of
  82. shipment to you of the repaired or replaced Software, or
  83. (b) Live Picture advised you how to operate the Software so
  84. as to achieve the functionality described in the
  85. Documentation. Only if you inform Live Picture of your
  86. problem with the Software during the applicable warranty
  87. period and provide evidence of the date you purchased a
  88. license to the Software will Live Picture be obligated to
  89. honor this warranty. Live Picture will use reasonable
  90. commercial efforts to repair, replace, advise or, for
  91. individual consumers, refund pursuant to the foregoing
  92. warranty within 30 days of being so notified.

  94. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY
  95. MADE BY LIVE PICTURE. LIVE PICTURE MAKES NO OTHER
  96. EXPRESSED OR IMPLIED WARRANTY AND NO WARRANTY OF
  97. NONINFRINGEMENT OF THIRD PARTIES' RIGHTS, INCLUDING
  98. WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND
  99. OF FITNESS FOR A PARTICULAR PURPOSE. IF SUCH DISCLAIMER
  100. IS NOT PERMITTED BY LAW, THE DURATION OF ANY SUCH
  101. IMPLIED WARRANTIES IS LIMITED TO 60 DAYS FROM THE DATE
  102. OF DELIVERY.
  103.  
  104. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED
  105. WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED
  106. WARRANTY MAY LAST, OR THE EXCLUSION OR LIMITATION OF
  107. INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SUCH LIMITATION
  108. OR EXCLUSIONS MAY NOT APPLY TO YOU. THIS WARRANTY GIVES
  109. YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER
  110. RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION.
  111. NO LIVE PICTURE DEALER, AGENT, OR EMPLOYEE IS AUTHORIZED
  112. TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR ADDITIONS TO
  113. THIS WARRANTY.
  114.  
  115. If any modifications are made to the Software by you
  116. during the warranty period, if the media is subjected to
  117. accident, abuse, or improper use, or if you violate the
  118. terms of this Agreement, then this warranty shall
  119. immediately be terminated. This warranty shall not apply
  120. if the Software is used on or in conjunction with hardware
  121. or software other than the unmodified version of hardware
  122. and software with which the software was designed to be
  123. used as described in the Documentation.  THIS WARRANTY
  124. GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER
  125. LEGAL RIGHTS THAT VARY BY JURISDICTION.

  127. PART III -- TERMS APPLICABLE TO ALL LICENSE GRANTS
  128.  
  129. SCOPE OF GRANT.
  130.  
  131. You may:
  132.   * use the Software on any single computer;
  133.   * use the Software on a network, provided that each
  134.     person accessing the Software through the network
  135.     must have a copy licensed to that person;
  136.   * use the Software on a second computer so long as only
  137.     one copy is used at a time;
  138.   * copy the Software for archival purposes, provided any
  139.     copy must contain all of the original Software's
  140.     proprietary notices; or
  141.  
  142.  
  143. You may not:
  144.   * permit other individuals to use the Software except
  145.     under the terms listed above;
  146.   * permit concurrent use of the Software;
  147.   * modify, translate, reverse engineer, decompile,
  148.     disassemble (except to the extent applicable laws
  149.     specifically prohibit such restriction), or create
  150.     derivative works based on the Software;
  151.   * copy the Software other than as specified above;
  152.   * rent, lease, grant a security interest in, or
  153.     otherwise transfer rights to the Software; or
  154.   * remove any proprietary notices or labels on the
  155.     Software.
  156.  
  157. TITLE.
  158.  
  159. Title, ownership rights, and intellectual property rights
  160. in the Software shall remain in Live Picture and/or its
  161. suppliers. The Software is protected by the copyright
  162. laws and treaties.  Title and related rights in the
  163. content accessed through the Software is the property of
  164. the applicable content owner and may be protected by
  165. applicable law. This License gives you no rights to such
  166. content.
  167.  
  168. TERMINATION.
  169.  
  170. The license will terminate automatically if you fail to
  171. comply with the limitations described herein.  On
  172. termination, you must destroy all copies of the Software
  173. and Documentation.
  174.  
  175. EXPORT CONTROLS.
  176.  
  177. None of the Software or underlying information or
  178. technology may be downloaded or otherwise exported or
  179. reexported (i) into (or to a national or resident of)
  180. Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Syria
  181. or any other country to which the U.S. has embargoed
  182. goods; or (ii) to anyone on the U.S. Treasury
  183. Department's list of Specially Designated Nationals or
  184. the U.S. Commerce Department's Table of Denial Orders. By
  185. downloading or using the Software, you are agreeing to
  186. the foregoing and you are representing and warranting
  187. that you are not located in, under the control of, or a
  188. national or resident of any such country or on any such
  189. list.
  190.  
  191. In addition, if the licensed Software is identified as a
  192. not-for-export product (for example, on the box, media or
  193. in the installation process), then the following applies:
  194. EXCEPT FOR EXPORT TO CANADA FOR USE IN CANADA BY
  195. CANADIAN CITIZENS, THE SOFTWARE AND ANY UNDERLYING
  196. TECHNOLOGY MAY NOT BE EXPORTED OUTSIDE THE UNITED
  197. STATES OR TO ANY FOREIGN ENTITY OR "FOREIGN PERSON"
  198. AS DEFINED BY U.S. GOVERNMENT REGULATIONS, INCLUDING
  199. WITHOUT LIMITATION, ANYONE WHO IS NOT A CITIZEN,
  200. NATIONAL OR LAWFUL PERMANENT RESIDENT OF THE UNITED
  201. STATES.  BY DOWNLOADING OR USING THE SOFTWARE, YOU
  202. ARE AGREEING TO THE FOREGOING AND YOU ARE WARRANTING
  203. THAT YOU ARE NOT A "FOREIGN PERSON" OR UNDER THE
  204. CONTROL OF A FOREIGN PERSON.
  205.  
  206. LIMITATION OF LIABILITY
  207.  
  208. UNDER NO CIRCUMSTANCES AND UNDER
  209. NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL
  210. LIVE PICTURE OR ITS SUPPLIERS OR RESELLERS BE LIABLE TO
  211. YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL,
  212. INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER
  213. INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF
  214. GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR
  215. MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES
  216. OR LOSSES. IN NO EVENT WILL LIVE PICTURE BE LIABLE FOR ANY
  217. DAMAGES IN EXCESS OF THE AMOUNT LIVE PICTURE RECEIVED
  218. FROM YOU FOR A LICENSE TO THE SOFTWARE, EVEN IF
  219. LIVE PICTURE SHALL HAVE BEEN INFORMED OF THE POSSIBILITY
  220. OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.
  221. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO
  222. LIABILITY FOR DEATH OR PERSONAL INJURY TO THE EXTENT
  223. APPLICABLE LAW PROHIBITS SUCH LIMITATION. FURTHERMORE,
  224. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR
  225. LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES,
  226. SO THIS LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.
  227.  
  228. HIGH RISK ACTIVITIES.
  229.  
  230. The Software is not fault-tolerant and is not designed,
  231. manufactured or intended for use or resale as on-line
  232. control equipment in hazardous environments requiring
  233. fail-safe performance, such as in the operation of
  234. nuclear facilities, aircraft navigation or communication
  235. systems, air traffic control, direct life support
  236. machines, or weapons systems, in which the failure of the
  237. Software could lead directly to death, personal injury,
  238. or severe physical or environmental damage ("High Risk
  239. Activities").  Live Picture and its suppliers
  240. specifically disclaim any express or implied warranty of
  241. fitness for High Risk Activities.
  242.  
  243. MISCELLANEOUS.
  244.  
  245. If the copy of the Software you received was accompanied
  246. by a printed or other form of "hard-copy" End User
  247. License Agreement whose terms vary from this Agreement,
  248. then the hard-copy End User License Agreement governs
  249. your use of the Software.  This Agreement represents the
  250. complete agreement concerning this license and may
  251. amended only by a writing executed by both parties. THE
  252. ACCEPTANCE OF ANY PURCHASE ORDER PLACED BY YOU IS
  253. EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS
  254. SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER.
  255. If any provision of this Agreement is held to be
  256. unenforceable, such provision shall be reformed only to
  257. the extent necessary to make it enforceable.  This
  258. Agreement shall be governed by California law (except for
  259. conflict of law provisions). The application the United
  260. Nations Convention of Contracts for the International
  261. Sale of Goods is expressly excluded.
  262.  
  263. U.S. GOVERNMENT RESTRICTED RIGHTS.
  264. Use, duplication or disclosure by the Government is subject 
  265. to restrictions set forth in subparagraphs (a) through (d) of the
  266. Commercial Computer-Restricted Rights clause at FAR
  267. 52.227-19 when applicable, or in subparagraph (c)(1)(ii)
  268. of the Rights in Technical Data and Computer Software
  269. clause at DFARS 252.227-7013, or at 252.211-7015, or to
  270. Live Picture's standard commercial license, as applicable,
  271. and in similar clauses in the NASA FAR Supplement.
